These Pay Over Time Terms & Conditions ("Agreement") govern the use of installment payment plans offered by Keener Adventures LLC for participation in Pride Afloat: Mission Bay Social Cruise through our payment partner, Partial.ly. By enrolling in a payment plan, you acknowledge and agree to the following terms and conditions.

1. Payment Plan Enrollment

Payment plans are available through Partial.ly and must be established by the reservation holder following the purchase of tickets.

To enroll in a payment plan, the reservation holder must use the payment plan link provided in the booking confirmation email sent through the reservation system available at reservations.keeneradventures.com.

All payment plan arrangements, including installment schedules and payment dates, must be agreed to through the Partial.ly platform.

2. Payment Method Requirements

All installment payments must be made using a valid credit card or debit card accepted by Partial.ly.

A 6% service fee will be added to payment plan purchases to help offset the costs associated with offering this service. This fee will be clearly displayed prior to finalizing the reservation and enrolling in the payment plan.

The reservation holder is responsible for ensuring that all payment methods remain valid and capable of processing scheduled installments.

3. Required Completion of Payments

The total invoice balance must be paid in full no later than seven (7) days prior to the scheduled start of the activity.

Failure to pay the full invoiced amount by this deadline will result in:

• Automatic cancellation of the reservation and tickets;
• Forfeiture of any amounts previously paid;
• No eligibility for refunds, credits, transfers, rebooking, or other compensation;
• Immediate termination of the payment plan.

Keener Adventures LLC shall have sole discretion in determining whether payment deadlines have been satisfied.

4. Cancellation by Reservation Holder

If a reservation holder voluntarily cancels their tickets within the applicable cancellation period established by Keener Adventures LLC, any refund that may otherwise be available shall be reduced by 20% of the total amount paid to date under the payment plan.

Any remaining refund eligibility shall be subject to the event's standard cancellation and refund policies.

Applicable service fees, processing fees, and other non-refundable charges may also be deducted where permitted by law.

5. Payment Disputes and Chargebacks

The filing of a payment dispute, chargeback, reversal, or similar claim with a financial institution or payment provider shall result in the immediate cancellation of the associated tickets and payment plan.

Upon such cancellation:

• The reservation shall be considered void;
• Tickets may be released for resale;
• Rebooking shall not be permitted;
• No refunds, credits, transfers, or reinstatements shall be available unless required by applicable law.

Keener Adventures LLC reserves all rights to pursue collection of any outstanding amounts owed under the original reservation agreement.

6. No Priority or Preferential Treatment

Participation in a payment plan does not provide any priority, preference, or enhanced access.

Guests utilizing a payment plan receive the same:

• Ticket status;
• Boarding priority;
• Seating availability (where applicable);
• Access to services; and
• Event participation rights

as guests who paid in full at the time of booking.

7. Information Shared with Partial.ly

To facilitate installment payments, Keener Adventures LLC provides Partial.ly with only the information necessary to associate payments with a reservation, specifically:

• Reservation or booking reference number; and
• Amount due.

All personal information required by Partial.ly for payment processing is provided directly by the reservation holder.

Keener Adventures LLC is not responsible for the privacy practices, policies, or security procedures of Partial.ly and encourages customers to review Partial.ly's applicable policies.

8. Right to Discontinue Payment Plan Availability

Keener Adventures LLC reserves the right, at its sole discretion, to modify, suspend, restrict, or discontinue the availability of payment plans at any time and without prior notice.

Keener Adventures LLC may refuse, terminate, or cancel participation in a payment plan for any lawful reason or for no stated reason, subject to applicable law.

9. Acceptance of Terms

By enrolling in a Pay Over Time plan through Partial.ly, the reservation holder acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions, as well as any separate terms imposed by Partial.ly.

Failure to comply with these Terms & Conditions may result in cancellation of tickets, loss of payments made, and termination of payment plan privileges.
